1. Acceptance of Terms

By accessing or using Ariadne Sovereign Intelligence ("Ariadne," the "Service," or the "Platform"), operated by SPRVLN Inc. ("Company," "we," "us," or "our"), you ("User" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform. Your continued use after such changes constitutes acceptance of the updated Terms.

2. Eligibility

To use the Service, you must be at least 18 years old, a legal resident of a jurisdiction where algorithmic trading is permitted, capable of forming a binding legal agreement, and not barred from using financial services under any applicable law or regulation.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials. You agree to provide accurate, current, and complete information during registration, notify us immediately of any unauthorized access to your account, and not share your account credentials with any third party. We are not liable for any loss or damage arising from your failure to maintain account security.

4. Description of Service

Ariadne provides the following tools and services:

• Algorithmic trading signals: Regime-aware market signals generated by quantitative models, including governor fusion, Bayesian probability assessment, and multi-strategy rotation.
• Portfolio management: Multi-asset allocation, position sizing, conviction-driven weighting, and walk-forward optimization.
• Financial account aggregation: Bank and brokerage account connectivity via Plaid and Alpaca for portfolio tracking and cash flow analysis.
• Market intelligence: Real-time and historical market data analysis, regime detection, and alternative data feeds.
• Family financial planning: Estate planning tools, insurance analysis, credit monitoring, and tax optimization calculators.
• Business operations: Accounting, vendor management, commerce tools, and operational dashboards.

5. Trading and Financial Disclaimers

You acknowledge and agree that:

• Risk of loss: Trading securities, options, futures, and other financial instruments involves substantial risk of loss and is not suitable for every investor. You could lose some or all of your invested capital.
• No guarantees: Past performance of any trading algorithm, signal, or strategy does not guarantee future results. Historical backtests are hypothetical and subject to model limitations, survivorship bias, and overfitting risk.
• Algorithmic risks: Automated trading systems may experience software errors, connectivity failures, data feed disruptions, or unexpected market conditions that result in losses. Circuit breakers, kill switches, and safety gates reduce but do not eliminate these risks.
• Your responsibility: You are solely responsible for all trading decisions and their outcomes, whether executed manually or through the Platform's automated systems. You should consult a qualified financial advisor before making investment decisions.
• Market data: Market data provided through the Service may be delayed, incomplete, or contain errors. We do not guarantee the accuracy, timeliness, or completeness of any market data.
• Brokerage relationship: The Company is not a broker-dealer, investment advisor, or financial institution. Trade execution is performed by third-party brokerages (e.g., Alpaca Securities LLC, TopstepX). Your relationship with these brokerages is governed by their own terms and agreements.

6. Third-Party Services

The Service integrates with third-party providers. Your use of these integrations is subject to their respective terms:

• Alpaca Securities LLC — Securities brokerage and trade execution. Alpaca Securities LLC is a registered broker-dealer and member of FINRA/SIPC.
• Plaid Inc. — Financial data aggregation. Subject to Plaid's Terms of Service.
• TopstepX — Futures trading platform.
• OpenAI / LLM Providers — AI advisory signals. LLM outputs are probabilistic and should not be relied upon as sole decision inputs.

We are not responsible for the availability, accuracy, or actions of any third-party service.

7. Intellectual Property

All content, algorithms, software, designs, trading strategies, and documentation within the Service are the intellectual property of SPRVLN Inc. and are protected by copyright, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, reverse-engineer or attempt to extract the source code of any proprietary algorithms, or use the Service's output to build a competing product or service.

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose, including market manipulation, insider trading, or money laundering.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or connected systems.
• Interfere with or disrupt the Service's infrastructure, including circumventing rate limits, safety gates, or security controls.
• Use automated tools (bots, scrapers) to access the Service except through provided APIs.
• Redistribute, resell, or sublicense access to the Service without written permission.
• Provide false or misleading information during registration or account connection.

9. Data Collection and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and financial information. By using the Service, you consent to the data practices described in the Privacy Policy.

10. Subscription and Fees

Certain features of the Service may require a paid subscription. Fees, billing cycles, and refund policies will be communicated at the time of purchase. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of access.

11. Limitation of Liability

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

12. Indemnification

You agree to indemnify, defend, and hold harmless SPRVLN Inc. and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your trading activities, or your violation of any applicable law or regulation.

13. Service Availability and Modifications

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service, including during market hours.

14. Termination

Either party may terminate this agreement at any time. We may immediately suspend or terminate your access if you violate these Terms, engage in fraudulent or illegal activity, fail to pay applicable fees, or upon your request. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 5, 7, 11, 12, and 16) will remain in effect.

15. Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware. Each party shall bear its own costs. Class action waiver: you agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SPRVLN Inc. regarding the Service, superseding any prior agreements.
